GOAT Audio Terms & Conditions of Use — Commercial License Framework for GOAT Audio, Audio Cue, and Loop Cue
Effective Date: October 13, 2026

GOAT Audio products are made for commercial music production. When you lawfully purchase or otherwise receive a valid license to eligible Licensed Content, you may incorporate that content into qualifying New Productions and commercially exploit those New Productions, including earning money from them, without paying GOAT Audio additional royalties, subject to these Terms.

In simple terms: follow the license, add qualifying creative material to the Licensed Content, make your own production, release it commercially, and keep the revenue and royalties generated by your production. “Royalty-free” does not mean copyright-free, ownership-free, public domain, or free of license restrictions.

These Terms & Conditions of Use (the “Terms”) govern the purchase, download, access, licensing, and use of products, content, services, and digital assets offered under GOAT Audio and, where applicable, Audio Cue and Loop Cue (collectively, “GOAT Audio,” “we,” “us,” or “our”). By purchasing, downloading, accessing, or using Licensed Content, you agree to these Terms.

These Terms apply to content obtained directly from GOAT Audio websites, platforms, authorized affiliates, distributors, marketplaces, or services unless a specific product or service is accompanied by separate written license terms. If product-specific terms conflict with these Terms, the product-specific terms control for that product.

“Licensed Content” means audio loops, construction kits, samples, one-shots, stems, MIDI files, presets, sound-design assets, instruments, expansion content, music cues, masters, compositions, metadata, downloadable files, and other eligible content made available under a GOAT Audio license.

“New Production” means a new song, beat, composition, audiovisual work, podcast, game, film, advertisement, presentation, social-media work, or other production that incorporates Licensed Content together with additional qualifying creative material supplied or arranged by the licensee. Depending on the product, this may include additional music, vocals, instrumentation, arrangement, production, editing, sound design, or other creative contributions.

“Source Material” means the Licensed Content itself, including individual loops, samples, MIDI, stems, construction-kit elements, presets, cues, masters, or substantially similar isolated versions of those assets.

“AI-Assisted Content” means content created, developed, transformed, edited, mixed, mastered, arranged, processed, or otherwise produced in whole or in part with artificial-intelligence, machine-learning, generative, algorithmic, or similar technology.

Subject to payment, these Terms, and any applicable product-specific restrictions, GOAT Audio grants the end user a limited, non-exclusive, non-transferable, non-sublicensable, worldwide, royalty-free commercial license to use the applicable Licensed Content as incorporated into qualifying New Productions.

The license allows authorized New Productions to be commercially released, reproduced, distributed, publicly performed, displayed, synchronized, monetized, licensed as part of the New Production, and otherwise commercially exploited in lawful media and distribution channels, including music streaming and downloads, physical releases, social media, podcasts, film, television, advertising, games, websites, and presentations.

GOAT Audio does not claim a percentage of the licensee’s revenue or royalties from an authorized New Production solely because Licensed Content is used in that New Production.

Unless a product-specific license expressly provides otherwise, Licensed Content may not be commercially exploited as an unchanged standalone work. The licensee must incorporate the Licensed Content into a qualifying New Production by adding or creating additional material or creative production. For traditional construction kits and loops, adding music and/or vocals is the clearest permitted use.

Editing, mixing, mastering, sound replacement, processing, arrangement, performance, vocals, additional instrumentation, and other creative production may contribute to a New Production. Copyright eligibility, however, is determined by applicable law and is not guaranteed by GOAT Audio.

GOAT Audio and/or its applicable licensors retain all ownership and rights they possess in the underlying Licensed Content. Purchasing a product is a purchase of a license to use the content, not a transfer of exclusive ownership of the Source Material.

The licensee owns the licensee’s original contributions to a New Production and may claim, register, license, distribute, and commercially exploit rights in the New Production to the extent permitted by applicable law. No provision of these Terms guarantees that any particular element, including AI-generated or AI-assisted material, qualifies for copyright protection.

Because the license is non-exclusive, the same or similar Licensed Content may lawfully be licensed to multiple customers. A licensee may not claim exclusive ownership over Source Material merely because it appears in the licensee’s New Production.

GOAT Audio may use human creators together with artificial intelligence, machine-learning systems, generative tools, audio-processing technology, software, instruments, and third-party platforms in the creation, development, transformation, sound design, editing, arrangement, mixing, mastering, and production of Licensed Content.

This may include Suno and other commercially licensed AI or production technologies. GOAT Audio will use third-party generated or assisted content only under rights or permissions that GOAT Audio reasonably believes authorize the intended commercial use. Where a third-party platform imposes additional restrictions on particular content, those restrictions may limit the rights GOAT Audio can pass through and may be stated in product-specific terms.

AI-assisted creation does not change the basic customer promise: when Licensed Content is designated for commercial use and the customer complies with these Terms, the customer may commercially exploit qualifying New Productions incorporating that Licensed Content. However, GOAT Audio does not guarantee copyrightability, exclusivity, uniqueness, or registrability of AI-generated elements.

GOAT Audio may maintain records of applicable subscriptions, permitted downloads, source files, human edits, production sessions, and other provenance information for AI-assisted products.

Audio Cue may include royalty-free music, cues, compositions, masters, stems, and related production content. Rights for a finished cue or master may differ from rights for a GOAT Audio loop or construction kit. Unless a specific Audio Cue license states otherwise, the customer receives only the usage rights expressly granted for the applicable cue or master and does not acquire ownership of the underlying composition, master, Source Material, or brand.

Audio Cue content may be commercially synchronized or otherwise used only within the scope stated for that product or subscription. A customer may not resell, redistribute, or offer an Audio Cue master or substantially isolated version as stock music, a sample, a music library asset, or a competing product.

Loop Cue may provide software, search, organization, analysis, metadata, matching, library-management, marketplace, or related services in addition to Licensed Content. Access to Loop Cue software or services does not transfer ownership of any underlying content, software, models, databases, metadata systems, or proprietary technology.

Content obtained through Loop Cue remains subject to the license attached to that content. AI-assisted or third-party content will not be represented as granting rights broader than the rights GOAT Audio is authorized to grant. Nothing in these Terms authorizes a customer to use Licensed Content to train, develop, fine-tune, or create a competing artificial-intelligence or machine-learning model unless GOAT Audio expressly grants that right in writing.

The following uses are prohibited unless GOAT Audio gives express written permission:

  • Selling, lending, gifting, sharing, transferring, sublicensing, uploading, or redistributing Source Material as standalone files or in substantially isolated form.
  • Using Licensed Content to create or sell a competing sample pack, loop pack, construction kit, preset library, MIDI pack, stock-music library, expansion, or substantially similar content product.
  • Extracting Licensed Content from a New Production for redistribution or making it available for others to use as source material.
  • Claiming exclusive ownership of, or exclusive copyright in, underlying Source Material that is licensed non-exclusively.
  • Registering Source Material itself with a content-identification, rights-management, fingerprinting, or monetization system in a manner that blocks, claims, demonetizes, or interferes with GOAT Audio or other authorized licensees.
  • Using Licensed Content unlawfully, deceptively, or in violation of third-party rights.
  • Removing or intentionally falsifying provenance, licensing, copyright, watermark, or rights-management information where such information is included.

A licensee may use ordinary distribution and monetization services for an authorized New Production. However, because Licensed Content is non-exclusive, the licensee must not register or fingerprint the underlying Source Material in a way that creates exclusive claims against GOAT Audio, its licensors, or other lawful licensees.

If a distributor, platform, publisher, label, Content ID service, or rights administrator requires exclusive ownership of every underlying element, the licensee is responsible for determining whether the New Production qualifies for that service. GOAT Audio does not guarantee acceptance by any third-party platform.

A licensee may create a New Production for a client, artist, label, production company, or other commissioning party, provided the Licensed Content remains embedded in the New Production and is not delivered or transferred as reusable Source Material. The client may commercially exploit the completed New Production within the scope of this license, but receives no standalone license to extract, reuse, redistribute, or resell the underlying Source Material unless separately licensed.

Unless expressly stated otherwise, each purchase or valid receipt authorizes one individual end user. The license itself may not be sold, lent, gifted, shared, or transferred. Businesses, teams, educational institutions, studios, or other multi-user organizations may require a separate multi-seat, enterprise, or written license.

Your purchase receipt, order record, account record, subscription entitlement, or other authorized transaction record serves as proof of license. Keep your proof of purchase. GOAT Audio may require reasonable proof of license when investigating a licensing dispute.

Use of a New Production on streaming services, distributors, social platforms, marketplaces, publishers, collecting societies, Content ID systems, or other third-party services is also subject to those services’ own rules. GOAT Audio does not control and cannot guarantee acceptance, monetization, copyright registration, fingerprinting eligibility, or treatment by third-party services.

GOAT Audio represents that it intends to offer Licensed Content under commercial-use rights that it reasonably believes it is authorized to grant. Because creative technology, AI law, copyright law, third-party terms, and platform policies can change, GOAT Audio does not warrant that every element of every product will qualify for copyright protection, be unique, or be eligible for exclusive registration.

The customer is responsible for the customer’s own added lyrics, vocals, samples, performances, trademarks, images, and other contributions, and for obtaining any necessary permissions for those contributions.

To the maximum extent permitted by law, Licensed Content and services are provided on an “as is” and “as available” basis. GOAT Audio disclaims warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uniqueness, and uninterrupted availability, to the extent such disclaimers are legally permitted.

To the maximum extent permitted by law, GOAT Audio will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost opportunities, lost data, platform takedowns, or third-party claims arising from use of Licensed Content. Any aggregate liability will not exceed the amount paid by the customer for the specific Licensed Content giving rise to the claim, except where applicable law prohibits such a limitation.

A license remains valid only while the licensee complies with these Terms. GOAT Audio may terminate a license for a material breach, including unauthorized redistribution, resale of Source Material, fraudulent acquisition, or knowing misuse of non-exclusive content as exclusive content. Termination does not create ownership rights in GOAT Audio over the customer’s independently created material, but continued use of Licensed Content after termination may be unauthorized.

GOAT Audio may update these Terms to reflect new products, services, technologies, laws, or business practices. Unless legally required or expressly agreed otherwise, an update will not retroactively eliminate commercial-use rights already validly granted for a product under the license in effect at the time of purchase. New purchases, subscriptions, downloads, and services may be governed by the version then in effect.

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. Failure to enforce a provision is not a waiver. These Terms and any applicable product-specific license constitute the agreement concerning use of the Licensed Content, subject to any separate written agreement signed by GOAT Audio.

Any governing-law, venue, arbitration, class-action waiver, refund, privacy, subscription, or dispute-resolution provisions should be read together with the applicable website Terms of Service and Privacy Policy. If GOAT Audio adopts separate corporate Terms of Service, those provisions may supplement this content license.

Questions concerning licensing, commercial use, client work, enterprise use, or permissions should be directed to GOAT Audio through the contact information published on the official GOAT Audio website or the customer’s account portal.

You are buying a license, not exclusive ownership of the source files. Use the licensed content to create qualifying new productions. Add your own creative contribution. Release and monetize those productions commercially. Keep the money and royalties your authorized production earns. Do not resell or redistribute the source material, claim the underlying non-exclusive content as exclusively yours, or use rights-management systems to interfere with other lawful GOAT Audio customers.
