These Website Terms of Use (“Terms”) govern your access to and use of the GOAT Audio website, online store, customer accounts, Audio Cue, Loop Cue, and other websites, applications, digital services, features, and online properties operated by or on behalf of GOAT Audio (collectively, the “Services”).
By accessing or using the Services, creating an account, purchasing a product, downloading content, or otherwise using the GOAT Audio website, you agree to these Terms. If you do not agree to these Terms, do not use the Services.
GOAT Audio provides digital products and services for music producers, artists, content creators, filmmakers, developers, and other creative professionals.
Our products and services may include:

You must be legally capable of entering into a binding agreement to purchase products or use Services requiring an account.
If you use the Services on behalf of a company, label, studio, organization, or other entity, you represent that you have authority to bind that entity to these Terms.
Certain Services may require you to create an account.
You agree to provide accurate and current information and to keep your account information reasonably up to date. You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account.
You may not sell, transfer, share, or provide unauthorized access to your account.
Contact GOAT Audio promptly if you believe your account has been accessed without authorization.
GOAT Audio may permit users to create or access accounts through third-party authentication providers such as Google, Apple, Facebook, or other supported services.
Use of those services may also be governed by the third party’s terms and privacy policies.
GOAT Audio is not responsible for the operation or availability of independent third-party authentication services.
Prices, product descriptions, included formats, compatibility requirements, discounts, and availability are displayed at the time of purchase.
You agree to provide valid payment information and authorize GOAT Audio and its payment processors to charge the applicable purchase price, taxes, and other disclosed charges.
GOAT Audio may refuse or cancel transactions involving suspected fraud, pricing errors, unauthorized payment methods, technical errors, or violations of these Terms.
GOAT Audio primarily sells or provides digital products.
Customers are responsible for reviewing product descriptions, formats, system requirements, and compatibility information before purchasing.
A product described as compatible with a particular platform, software application, instrument, or hardware device does not guarantee compatibility with every version or configuration of that platform.
Purchasing a GOAT Audio digital product does not transfer ownership of the underlying intellectual property.
Your use of samples, loops, construction kits, MIDI, presets, expansions, music, masters, or other licensed creative content is governed by the applicable GOAT Audio License Agreement/Product Terms.
Those licensing terms are incorporated into these Website Terms by reference.
Where there is a conflict concerning how Licensed Content may be used, the applicable Product License controls.
Eligible GOAT Audio products are designed for commercial creative use.
When you legally acquire Licensed Content and comply with the applicable Product License, you may commercially exploit qualifying new or derivative productions as permitted by that license.
This may include earning revenue from authorized music releases, streaming, content creation, client productions, film, television, advertising, games, social media, and other permitted commercial uses.
GOAT Audio does not take a percentage of the revenue or royalties generated by an authorized New Production solely because GOAT Audio Licensed Content was used in it.
Commercial use does not give the customer exclusive ownership of underlying non-exclusive GOAT Audio Source Material.
Where a product is described as “royalty-free,” this means the customer does not owe GOAT Audio continuing royalties for authorized uses covered by the applicable license.
Royalty-free does not mean:
The applicable Product License determines permitted use.
GOAT Audio may use artificial intelligence, machine-learning technology, generative systems, algorithmic tools, third-party platforms, and other technologies as part of our creative and production processes.
These technologies may be used alongside human production for activities including idea generation, music production, sound design, editing, arrangement, mixing, mastering, metadata, categorization, and development. This may include services such as Suno and other commercially licensed technologies.
GOAT Audio intends to commercially distribute AI-assisted content only where we reasonably believe we possess or have obtained rights sufficient for the intended use.
However, copyright laws concerning AI-generated and AI-assisted material continue to evolve. GOAT Audio does not guarantee that every AI-generated element is independently copyrightable, registrable, unique, or exclusive. The applicable Product License determines the rights granted to customers.
Audio Cue may provide professionally produced music, cues, masters, stems, compositions, and related content for use in audiovisual and other creative projects.
Audio Cue content may be governed by license terms different from those applicable to traditional GOAT Audio sample packs.
Customers must comply with the license associated with the applicable Audio Cue content.
Purchasing or licensing an Audio Cue track does not transfer ownership of the underlying master or composition unless GOAT Audio expressly agrees otherwise in writing.
Loop Cue may provide tools for organizing, analyzing, searching, discovering, categorizing, matching, or managing music-production content.
Loop Cue may use information such as key, tempo, chords, genre, instrument, file format, metadata, and other musical characteristics.
Use of Loop Cue does not transfer ownership of GOAT Audio software, databases, algorithms, technology, or Licensed Content.
If users are permitted to import their own content into Loop Cue, they retain whatever ownership rights they possess in that content, subject to any limited permissions necessary for Loop Cue to provide the requested service.
Additional Loop Cue terms may apply when the service launches or when particular features require additional permissions.
The Services and their contents—including website design, text, graphics, logos, trademarks, product artwork, software, databases, interfaces, audio previews, videos, photographs, branding, and other materials—are owned by or licensed to GOAT Audio and are protected by applicable intellectual-property laws.
Except as expressly authorized, you may not copy, reproduce, distribute, modify, publicly display, scrape, reverse engineer, republish, commercially exploit, or create competing services from protected portions of the Services.
You may not use the Services to:
GOAT Audio takes unauthorized distribution of its products seriously.
We may investigate suspected piracy, unauthorized redistribution, account sharing, fraudulent transactions, or other licensing violations.
GOAT Audio may issue copyright notices, DMCA notices, marketplace complaints, hosting-provider complaints, platform complaints, or take other lawful enforcement action when appropriate.
Customers are responsible for downloading and maintaining appropriate backups of purchased products.
GOAT Audio may provide access to previous purchases through customer accounts, but perpetual cloud storage or indefinite download availability is not guaranteed unless expressly promised.
We recommend maintaining backups of downloaded products.
Because GOAT Audio primarily provides downloadable digital products that cannot practically be returned after delivery, purchases are generally non-refundable once content has been delivered or downloaded, except where required by applicable law.
GOAT Audio may, at its discretion, provide refunds, replacements, credits, or other remedies for defective files, duplicate purchases, incorrect delivery, or other qualifying circumstances.
Nothing in this section eliminates consumer rights that cannot legally be waived.
Certain GOAT Audio, Audio Cue, or Loop Cue services may be offered through recurring subscriptions.
Before purchase, applicable pricing, billing frequency, renewal terms, cancellation procedures, and included benefits will be disclosed.
Where automatic renewal applies, subscriptions may continue until canceled according to the terms presented during enrollment and applicable law.
Cancellation generally prevents future renewal and does not retroactively refund previous subscription periods unless required by law or expressly stated otherwise.
Promotions, coupons, bundles, credits, and discount codes may have separate eligibility requirements, expiration dates, or restrictions.
Unless otherwise stated, promotions have no cash value and cannot be combined with other offers.
GOAT Audio may correct or cancel promotions affected by fraud, technical errors, or obvious pricing mistakes.
GOAT Audio may integrate with or link to third-party services, including payment processors, authentication providers, social networks, streaming services, software platforms, cloud providers, and music-production technologies.
Third-party services are governed by their own terms and policies.
GOAT Audio does not control independent third-party services and is not responsible for their availability, policies, actions, or changes.
Our collection and use of personal information is described in the GOAT Audio Privacy Policy.
By using the Services, you acknowledge the data practices described in that policy.
When you contact GOAT Audio, you agree that we may use the information you provide to respond to your request, investigate technical or licensing issues, maintain customer-service records, and protect our legal rights.
Abusive, fraudulent, threatening, or intentionally disruptive use of customer-support services may result in restrictions on access.
We work to keep our Services available and functioning properly, but we do not guarantee uninterrupted or error-free operation.
Services may occasionally be unavailable because of maintenance, software updates, security issues, hosting problems, third-party outages, technical failures, or circumstances outside our control.
We may modify, replace, suspend, or discontinue features when reasonably necessary.
To the maximum extent permitted by applicable law, the Services and products are provided on an “as is” and “as available” basis.
GOAT Audio does not guarantee that the Services will always be uninterrupted, error-free, compatible with every system, or suitable for every particular purpose.
Nothing in these Terms excludes warranties or consumer protections that cannot legally be excluded.
To the maximum extent permitted by applicable law, GOAT Audio will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the Services or products, including lost profits, lost opportunities, lost data, third-party platform actions, or business interruption.
Where permitted by law, GOAT Audio’s aggregate liability arising from a particular purchased product will not exceed the amount actually paid to GOAT Audio for the product giving rise to the claim.
These limitations do not apply where prohibited by law.
To the extent permitted by law, you agree to indemnify and hold harmless GOAT Audio and its owners, officers, employees, contractors, affiliates, and agents from third-party claims, damages, liabilities, and reasonable expenses resulting from your unlawful use of the Services, violation of these Terms, violation of an applicable Product License, or infringement of another person’s rights.
GOAT Audio may suspend or terminate access to an account where we reasonably believe the account is involved in fraud, piracy, unauthorized distribution, security abuse, material license violations, or other serious violations of these Terms.
Where appropriate and legally required, customers will be given notice or an opportunity to resolve an issue.
Termination of an account does not automatically transfer ownership of GOAT Audio intellectual property or authorize continued use of content in violation of an applicable license.
GOAT Audio respects intellectual-property rights.
If you believe content appearing through our Services infringes your copyright, you may submit a copyright complaint containing the information required by applicable law to goataudiosound@gmail.com.
GOAT Audio may remove or restrict access to material when appropriate and may take action against repeat infringers.
We may update these Website Terms as our products, technologies, business practices, or legal obligations change. The Last Updated date will identify the most recent version.
Material changes may be communicated through the website, customer accounts, email, or another reasonable method where required.
Changes to Website Terms do not automatically eliminate commercial license rights previously validly granted under an applicable Product License unless permitted by that license and applicable law.
These Terms will be governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.
If any provision of these Terms is determined to be unlawful or unenforceable, that provision will be enforced to the maximum extent legally permissible, and the remaining provisions will remain in effect.
These Website Terms, together with the applicable Privacy Policy, Product License Agreement, Audio Cue license, Loop Cue terms, refund terms, subscription terms, and any product-specific terms, constitute the applicable agreement between you and GOAT Audio regarding use of the Services.
